Jack Lawrence (Of Counsel)
Jack Lawrence is a business, finance and real estate attorney with particular expertise in secured lending transactions. He counsels clients, including businesses, banks, and other lenders, in matters of entity formation, corporate governance, finance, loan documentation, and mergers & acquisitions. Jack’s commercial lending experience includes real estate-related lending; complex defeasance issues relating to conduit loans; asset-based lending (UCC Rev. Art. 9); secured creditor rights, including loan workouts and bankruptcy; and the negotiation and transfer of commercial loan servicing rights. He also has represented lenders in the purchase and sale of credit card portfolios, has negotiated participation and inter-creditor agreements among lenders, and has counseled lender clients in the environmental risks associated with lending.
Jack’s high-level expertise comes from both his considerable experience as aprivate practitioner and his former position as in-house counsel at a national bank.
Before joining Sayar Fausto, LLP, Jack worked at Hoge Fenton developing in its corporate division, served as Managing Director of the Shaw, Spangler & Lawrence firm in Denver, CO, and undertook the position of Vice President/Legal Counsel for Colorado National Bankshares, Inc. (now part of U.S. Bank).

Commercial Banking & Finance; Mergers & Acquisitions
- Negotiated and documented a multi-million dollar merger of two bank holding companies
- Negotiated the acquisition of a $50 million portfolio of credit card accounts
- Audited bank operations and lending practices to determine compliance with state and federal banking regulations
- Assisted client in completing a complex multi-million dollar loan transaction secured by real estate in five states, accounts, equipment, and inventory
- Documented and closed a complex sale of stock of a company with real estate holdings in 12 states
- Crafted an alliance among suppliers, marketers, and transporters for construction and operation of a manufacturing plant
- Directed a team that revised standard agreements for letters of intent, letters of credit, term loans, asset based loans, real estate loans, deeds of trust, security agreements, and promissory notes
- Negotiated and developed comprehensive contracts for the acquisition of a petroleum refinery
