Terms & Conditions Governing Your Use of This Website
We may at any time, at our sole discretion, revise or otherwise update this Agreement by posting an amended Agreement on the SF-Legal SF-Legal Site; any changes that we make to this Agreement will be effective immediately upon posting. You acknowledge and agree that the SF-Legal SF-Legal Site and the materials are and shall remain the property of Sayar Fausto and/or its licensors, and are protected by copyright, trademark, and/or other proprietary rights and laws. Except as expressly authorized in advance by Sayar Fausto, you agree not to copy, distribute, transmit, display, perform or create derivative works of the SF-Legal SF-Legal Site or any of the materials, provided that, subject to your compliance with this Agreement, Sayar Fausto does grant to you a limited, personal, revocable, non-transferable and non-sublicensable license to (a) access the SF-Legal SF-Legal Site and the materials via the internet solely for purposes of viewing such materials and (b) to print out pages of the SF-Legal SF-Legal Site for your personal, non-commercial use. Trade names, trademarks, and service marks of Sayar Fausto or its affiliates include, without limitation, “Sayar Fausto,” “SF-Legal,” “sf-legal.com” and any associated logos. All trade names, trademarks and service marks on the SF-Legal SF-Legal Site that are not owned by Sayar Fausto or its affiliates are the property of their respective owners. The trade names, trademarks, and service marks owned by Sayar Fausto or its affiliates, whether registered or unregistered, may not be used in connection with any product or service that is not either ours or one of our affiliate’s product or service, or in any other manner that is likely to cause confusion or dilution. Nothing on the SF-Legal SF-Legal Site should be construed as granting, by implication, estoppel, or otherwise, any right or license to use any of Sayar Fausto’s (or its affiliates’) trade names, trademarks, or service marks without our (or the relevant affiliate’s) prior express written permission. Sayar Fausto grants you a limited, revocable, nonexclusive license to use the SF-Legal SF-Legal Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the SF-Legal SF-Legal Site, reverse engineer or break into the SF-Legal SF-Legal Site, or use materials, products or services in violation of any law. Indemnification. You agree to defend, indemnify and hold harmless Sayar Fausto, its affiliates and its suppliers, and each of their respective partners, employees, representatives and agents, from and against all claims, losses, costs, damages, liabilities, and expenses (including but not limited to attorneys fees) arising out of: (a) your activities in connection with the SF-Legal SF-Legal Site; (b) any violation of this Agreement by you; (c) any improper or unauthorized use of the materials by you; or (d) any allegation that anything you transmit through or in connection with the SF-Legal SF-Legal Site infringes or otherwise violates the copyright, trademark, trade secret, privacy, or other rights of any third party. Disclaimer. Limitation of Liability. UNDER NO CIRCUMSTANCES WILL SAYAR FAUSTO BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SF-LEGAL SITE (INCLUDING ANY LINKS TO OTHER WEBSITES THAT ARE CONTAINED WITHIN THE SF-LEGAL SITE), YOUR SF-LEGAL SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES THAT ARISE UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA, OR OTHER INTANGIBLES, EVEN IF MORRISON SAYAR FAUSTO, ITS AFFILIATES AND/OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SF-LEGAL SITE OR THE MATERIALS IS TO STOP USING THE SF-LEGAL SITE OR THE MATERIALS. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SF-LEGAL SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SF-LEGAL SITE USE. You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you. Use of Information. Sayar Fausto reserves the right, and you authorize us, to use and assign all information regarding SF-Legal SF-Legal Site uses by you and all information provided by you in any manner consistent with our Privacy Policy. Copyrights and Copyright Agent. If you believe your work has been copied in a way that constitutes copyright infringement, please provide a notice containing all of the following information to our Copyright Agent: (a) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (b) A description of the copyrighted work that you claim has been infringed; (c) A description of where the material that you claim is infringing is located on the SF-Legal SF-Legal Site; (d) Your address, telephone number, and e-mail address; (e) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. This Agreement is governed by and shall be construed in accordance with the laws of the State of California, United States of America, without regards to its principles of conflicts of law. In the event of a dispute arising under or relating to this Agreement, the SF-Legal SF-Legal Site or the Materials, you agree to the exclusive jurisdiction of the federal and state courts located in the State of California, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect. Termination. Sayar Fausto may terminate this Agreement at any time, with or without notice, for any reason. Miscellaneous. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. A party's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. This, together with any of our policies referred to herein, is the entire Agreement between you and us relating to your use of the SF-Legal SF-Legal Site or the materials, and supersedes any and all prior or contemporaneous written or oral Agreements between you and us regarding the same subject matter (except other written, fully-executed contracts between you and us). Neither the course of conduct between you and us, nor trade practice, shall act to modify any provision of this Agreement.
